General Terms and Conditions Klix Marketing

These general terms and conditions apply to all offers and agreements of Klix Marketing (hereinafter "Klix.ai" or "we"), trading under the product name Klix.ai, established at Rigoletto 253 Capelle aan den IJssel 2907 JG, registered with the Chamber of Commerce under number 96245719. By using our services or entering into an agreement with us, you agree to these terms.
1. Services and Working Method
1.1 Software solution for marketplaces
Klix.ai is a software solution from Klix Marketing, aimed at increasing the visibility of sales pages on various online marketplaces. The goal is that your products are found faster by the right target group, leading to more visitors and higher sales figures.
1.2 Targeted promotion and relevant referrals
Our working method includes, among other things, creating and placing links on external sources, so that your sales pages come to attention in a natural and valuable way. This strategy is data-driven: we continuously monitor performance and adjust immediately if necessary.
1.3 Scalable and sustainable
Klix.ai focuses on long-term results. When it appears that a certain approach is successful, we can expand it further for even more reach. We believe in a safe, transparent and result-oriented working method, so you can count on sustainable growth in visibility and turnover.
1.4 No guarantees, but effort
We fully commit ourselves to improving the visibility and performance of your sales pages, but cannot give absolute guarantees on specific positions or search results, as marketplace algorithms and other factors are beyond our control. We therefore provide an effort obligation and not a result obligation.
2. Offers and Agreements
2.1 Offers and validity period
All offers from Klix Marketing (in the context of Klix.ai) are non-binding and have, unless otherwise stated, a validity of 30 days. An offer automatically expires after that period. You can accept an offer in writing or electronically, after which Klix sends a confirmation. Only at that moment does an agreement come into effect.
2.2 Changes
Do you want to change the assignment or scope during the term of the agreement? Then we first discuss the consequences for price, planning or results. A change is only binding if both parties have agreed to it in writing.
2.3 Duration and notice period
Unless otherwise agreed, an agreement is entered into for an indefinite period. You can terminate the cooperation monthly, with a notice period of one month. Notice must be given in writing (by email is sufficient).
3. Customer Obligations
3.1 Providing information
You ensure that Klix has timely access to all relevant data and materials, including access details, statistics or content. Without the right information, we cannot optimally deploy our software solution and services, which can affect the results.
3.2 Lawful use
All texts, images, logos and other materials that you provide to Klix must be lawfully obtained (so no infringement of copyright or trademark rights). You indemnify Klix from possible claims from third parties that relate to the material you have provided.
3.3 Feedback and cooperation
We like to work closely with you. It is important that you give any feedback or approval on time, so that we do not have to interrupt our work. Smooth communication usually leads to the best results.
4. Rates and Payment
4.1 Fixed rate or package price
Our services are usually offered at a fixed rate per month, unless we have agreed on a project or package price. All rates are exclusive of VAT, unless otherwise stated.
4.2 Invoicing and payment
Klix sends the invoice electronically, usually on a monthly basis. The payment term is 14 days after the invoice date, unless otherwise agreed in writing.
4.3 Non-timely payment
If payment remains outstanding after the due date, you will first receive a reminder. If payment is still not made, Klix may charge statutory interest and collection costs. We can also temporarily suspend the service or terminate the agreement in case of systematic non-payment.
4.4 Price changes
Klix may periodically adjust its rates (for example due to inflation or changing market conditions). We inform you at least 30 days in advance. If you do not agree with the new rates, you can terminate the agreement within the notice period.
5. Liability
5.1 Effort obligation
Klix will always strive to perform the agreed services according to the latest insights and best practices. However, we cannot guarantee specific ranking positions or absolute traffic figures, given external factors and marketplace algorithms.
5.2 Limitation of liability
Klix is not liable for indirect damage, such as lost profits, loss of turnover or consequential damage. If Klix is held liable for direct damage for whatever reason, this liability is limited to a maximum of the amount you have paid to Klix in the three months prior to the damage-causing event.
5.3 Force majeure
In case of force majeure (e.g. infrastructure failures, pandemic, government measures or major changes in marketplace algorithms), Klix may wholly or partially suspend its obligations as long as the force majeure continues. We are not liable for damages in such a situation.
6. Confidentiality and Privacy
6.1 Confidential information
Both Klix and you handle each other's business and personal data confidentially. Sensitive information, such as login details and internal figures, is not shared with third parties, unless this is necessary for the execution of the assignment and explicit permission has been given.
6.2 Privacy and data
If we gain access to personal data (for example from your customers or leads), we process it in accordance with applicable privacy legislation. We take appropriate measures to secure this data and only use it for the agreed purposes. See our separate Privacy Statement on klixmarketing.nl for more details.
7. Termination
7.1 Notice
Both parties can terminate the agreement after the possible minimum duration monthly, with a notice period of one month. This can be done in writing, for example by email. Any outstanding invoices remain due of course.
7.2 Immediate termination
In case of a serious breach that is not remedied within a reasonable period after a written notice of default, the other party may terminate the agreement immediately. In case of bankruptcy or suspension of payments of the customer, Klix can terminate or suspend the agreement immediately.
8. Applicable Law and Disputes
8.1 Dutch law
Dutch law applies to all legal relationships with Klix.
8.2 Dispute resolution
Any disputes we try to resolve first in good consultation. If that doesn't work, we submit it to the competent court in the district where Klix is established.
9. Final Provisions
9.1 Changes to these terms
Klix can change these general terms and conditions. We announce changes well before they take effect. If you do not agree with the amended terms, you can terminate the agreement with due observance of the usual notice period.
9.2 Separation of provisions
If a provision in these terms and conditions proves to be invalid or unenforceable, the remaining provisions remain fully in force. We replace the invalid provision with a valid provision that approximates the intention as much as possible.
